 Transfer of business assets of tantalum capacitors 

 from ROHM to Kyocera AVX Corporation

Dear valued customer,

As notified in the press release on March 4^th, 2022, ROHM will transfer business assets relating to tantalum capacitor products to Kyocera AVX Components (KAVX). Please find more details below.

1. Assets to be transferred

- Business Assets relating to tantalum capacitors including production lines and IPs.

- Except for assets relating to fused-type capacitors which are currently on EOL.

- Please refer to the attached “part number list” for the details.

2. Scheduled date of transfer (transaction date)

- August 5th, 2022

3. Outline of the transaction

- ROHM will stop selling tantalum capacitors products on the date of transfer.

- After the date of transfer the production lines of tantalum capacitors will be transferred to KAVX’s facility in phases.

- ROHM will supply tantalum capacitors to KAVX during the transition period above.

- After the completion of transfer of the production lines, KAVX will produce equivalent products with the transferred production lines.

4. Final order and Final shipment

(a) Final order to ROHM

- Polymer Tantalum Capacitors: May 13th, 2022

- MnO2 Tantalum Capacitors: June 10th, 2022

(b) Final shipment from ROHM

- August 5th, 2022

(c) Quantity of final order

- In order for smooth transition of manufacturing and sales, ROHM will set an upper limit to the orders based on the quantity of purchase orders or forecast that has already been provided to ROHM.

5. Changes occurred by this transaction

(a) Supply of the products

ROHM will continue to supply the existing products to KAVX for a certain period after the transaction according to the manufacturing agreement between both parties.

- No changes in Material, Operator, Machined or Method

- No changes in part numbers

- There may be some changes in labels and packaging according to the change of the seller. Please contact with KAVX for details.

(b) Purchase Orders

ROHM will continue shipment of the products until the transaction date.

All purchase orders with the shipping date after the above transaction date will be cancelled. Please re-place the orders to KAVX.

- KAVX is working to be able to receive orders starting from May 1^st, 2022

- KAVX will start shipping products from August 8^th, 2022

In order for stable supply of the products and the smooth succession of sales, ROHM will share the product specification data and sales data of customers with KAVX. Please let us know if you have any objections.

(c) Transaction Terms, Contract

Transaction terms and contract between customers and ROHM will not be taken over by KAVX. Transaction terms after the transaction date shall be decided between customers and KAVX.
